This Agreement is between “You” (the user of the SMARTNET(TM) Reference Station Network) and Leica Geosystems, Inc., a Delaware corporation having a principal place of business at 5051 Peachtree Corners Cir., Ste 250, Norcross, GA 30092 (hereinafter “Leica”), to grant You access to the SMARTNET Reference Station Network on these terms and conditions set forth below.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS BEFORE ACCESSING SMARTNET REFERENCE STATION NETWORK. THIS IS A LEGAL AGREEMENT, WITH IMPORTANT LEGAL CONSEQUENCES, BETWEEN YOU, THE LICENSEE (EITHER AN INDIVIDUAL OR A SINGLE ENTITY), AND THE LICENSOR, LEICA GEOSYSTEMS, INC., REGARDING ACCESS TO THE SMARTNET REFERENCE STATION NETWORK. THIS AGREEMENT IS PRESENTED FOR REVIEW AND APPROVAL AS A MANDATORY STEP PRIOR TO ACCESSING AND USING CORRECTIONS FROM THE NETWORK. ACCESSING OR USING THE NETWORK SIGNIFIES YOUR ACCEPTANCE OF AND AGREEMENT TO THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THEM, OR DO NOT UNDERSTAND THEM, YOU SHOULD CLICK “DO NOT AGREE” OR WORDS OF LIKE IMPORT BEFORE ACCESSING THE NETWORK. THIS AGREEMENT SUPERCEDES AN ORAL UNDERSTANDING BETWEEN THE PARTIES AND CAN ONLY BE MODIFIED BY WRITTEN AGREEMENT.

Network Access

Leica hereby grants You permission to access, with one roving GNSS receiver (hereinafter “Rover”), the SMARTNET Reference Station Network for the Term, contingent on Your paying subscription fees during the Term. The “Term” is as defined in a Purchase Order or other document between You and Leica. You may access the SMARTNET Reference Station Network with additional Rovers upon paying additional fees as agreed to from time to time with Leica in writing.

To facilitate access to the SMARTNET Reference Station Network, Leica will provide You with a user name and password and the Internet Protocol (IP) address of the SMARTNET Reference Station Network (“Information”). You agree to keep the Information confidential and not disclose the Information to any third party. You agree that usage information regarding the Leica’s positioning data, and any other data obtained by You through authorized use of the SMARTNET Reference Station Network, will be treated by You as confidential and the exclusive property of Leica. Leica may track and record user information for the purpose of monitoring, improving or marketing the SMARTNET Reference Station Network or for other purposes associated with the SMARTNET Reference Station Network.

Default

If You fail to satisfy any obligation under the Agreement, Leica has the right to declare You in default and immediately prevent You from accessing the SMARTNET Reference Station Network. In addition, You agree to pay all costs, expenses, and reasonable attorney’s fees for Leica’s enforcement of this Agreement.

Disclaimer

Leica expressly disclaims any warranty, representation or promise that the SMARTNET Reference Station Network is or will be free from defects or that the SMARTNET Reference Station Network will cover a particular area or that uninterrupted access or use to the SMARTNET Reference Station Network is or will be available. Leica expressly disclaims any warranty, representation or warranty as to the accuracy or integrity of the data created by or passing through the SMARTNET Reference Station Network. LEICA MAKES NO REPRESENTATIONS OR WARRANTIES (EXPRESS OR IMPLIED) TO YOU AND SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT THERETO.

Representations and Warranties

You represent and warrant that You will access the SMARTNET Reference Station Network only for Your use and shall not lend, lease or share Your access rights or subscription with any third party. You further represent and warrant that You will not access the SMARTNET Reference Station Network so as to exceed the number of Rovers permitted by Your subscription. You represent and warrant that You are proficient in the use of GPS systems of the type useable with the SMARTNET Reference Station Network and will independently assess the accuracy and value of any data derived from the SMARTNET Reference Station Network. You represent and warrant that You will comply with all laws, codes, rules, and regulations relating to Your use of the SMARTNET Reference Station Network, and that You have obtained all necessary licenses, permits, training, and authorizations necessary for access or use of the SMARTNET Reference Station Network.

Assignment

You may not assign any right or delegate any right or duty under this Agreement without prior written consent from Leica. Leica has the right to assign, sell, or transfer any or all of its interest under this Agreement without Your approval or consent, and without notice to You.

Miscellaneous

This Agreement may not be amended, altered, modified, rescinded or extended except by a written instrument signed by the Parties. The waiver or breach of any provision of the Agreement by either Party shall not operate as a waiver of any other part or right. The headings in the Agreement are for convenience only and do not delineate the rights or parts of the Agreement. The Agreement shall be construed in accordance with the laws of the State of Georgia.

CET ACCORD EST PRÉSENTÉ POUR FIN D’EXAMEN ET D’APPROBATION, CECI COMME ÉTAPE OBLIGATOIRE PRÉALABLE À L’ACCÈS ET À L’UTILISATION DE CORRECTIONS DU RÉSEAU. L’ACCÈS OU L’UTILISATION DU RÉSEAU SIGNIFIE QUE VOUS ACCEPTEZ ET CONVENEZ DE CES CONDITIONS ET MODALITÉS. SI VOUS NE CONVENEZ PAS DE CES DERNIÈRES, OU SI VOUS NE LES COMPRENEZ PAS, VOUS DEVRIEZ CLIQUER SUR « DO NOT AGREE » (N’ACCEPTE PAS) OU LES MOTS DE SIGNIFICATION SEMBLABLE AVANT D’ACCÉDER AU RÉSEAU. CET ACCORD REMPLACE TOUTE ENTENTE ORALE AYANT EU LIEU ENTRE LES PARTIES ET NE PEUT ÊTRE MODIFIÉ QUE PAR ACCORD ÉCRIT.

Accès au réseau

Par les présentes, Leica vous accorde la permission d’accéder, au moyen d’un récepteur GNSS itinérant (ci-après appelé « Rover »), au Réseau de stations de référence SMARTNET pendant la durée déterminée, sous condition de votre paiement des frais d’abonnement pendant la durée déterminée. La « durée déterminée » est telle que définie par le bon de commande ou tout autre document établi entre vous et Leica. Vous pouvez accéder au Réseau de stations de référence SMARTNET avec des Rovers supplémentaires moyennant le paiement de frais supplémentaires tel que convenu par écrit à l’occasion avec Leica.

Afin de faciliter l’accès au Réseau de stations de référence SMARTNET, Leica vous fournira un nom d’utilisateur et un mot de passe et l’adresse de protocole Internet (IP) du Réseau de stations de référence SMARTNET (« Information »). Vous acceptez de maintenir la confidentialité de l’information et de ne divulguer l’Information à aucune tierce partie. Vous acceptez que l’information sur l’utilisation reliée aux données de positionnement de Leica, ainsi que toute autre donnée que vous aurez obtenue au moyen de l’utilisation autorisée du Réseau de stations de référence SMARTNET, seront traitées par vous comme étant confidentielles et la propriété exclusive de Leica. Leica peut faire le suivi et enregistrer les informations de l’utilisateur pour fin de surveillance, d’amélioration ou de marketing du Réseau de stations de référence SMARTNET ou pour toute autre fin associée au Réseau de stations de référence SMARTNET.

Manquement

S’il y avait quelque manquement de votre part de satisfaire à quelque obligation établie en vertu du présent accord, Leica a le droit de vous déclarer en situation de manquement à vos engagements et de vous empêcher sur le champ d’accéder au Réseau de station de référence SMARTNET. Par ailleurs, vous convenez de payer tous les coûts, les dépenses et les frais juridiques raisonnables requis pour l’application du présent accord par Leica.

Non-responsabilité

Leica se dégage expressément de toute responsabilité à l’égard de quelque garantie, déclaration ou promesse que le Réseau de stations de référence SMARTNET est ou sera libre de quelque défaut ou que le Réseau de stations de référence SMARTNET couvrira une région particulière ou que l’accès ininterrompu du Réseau de stations de référence SMARTNET ou son utilisation ininterrompue est ou sera disponible. Leica se dégage expressément de toute garantie, déclaration ou garantie à l’effet de la précision ou de l’intégrité des données créées ou passant par le Réseau de stations de référence SMARTNET. LEICA NE VOUS PRÉSENTE AUCUNE DÉCLARATION NI GARANTIE DE QUELQUE NATURE QUE CE SOIT (DE FAÇON EXPRESSE OU IMPLICITE) ET SE DÉGAGE SPÉCIFIQUEMENT DE TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE OU D’APTITUDE POUR QUELQUE FIN PARTICULIÈRE À CET ÉGARD.

Déclarations et garanties

Vous déclarez et garantissez que vous n’accéderez au Réseau de stations de référence SMARTNET que pour votre propre utilisation et ne prêterez, ne louerez ni ne partagerez vos droits d’accès ou votre abonnement à aucune tierce partie. Vous déclarez et garantissez par ailleurs que vous n’accéderez pas au Réseau de stations de référence SMARTNET de façon à surpasser le nombre de Rovers permis selon votre abonnement. Vous déclarez et garantissez que vous êtes compétent dans l’utilisation des systèmes GPS du type à utiliser avec le Réseau de stations de référence SMARTNET et que vous évaluerez de façon indépendante la précision et la valeur de toute données dérivée du Réseau de stations de référence SMARTNET. Vous déclarez et garantissez que vous vous conformerez à toutes les lois, tous les codes, tous les règlements et toute la réglementation reliée à votre utilisation du Réseau de stations de référence SMARTNET et que vous avez obtenu tous les permis et toutes les licences, formations et autorisations nécessaires pour accéder ou utiliser le Réseau de stations de référence SMARTNET.

Cession

Vous ne pouvez céder ni déléguer quelque droit ni quelque obligation que ce soit en vertu du présent accord sans l’obtention préalable d’un consentement écrit de Leica. Leica a le droit de céder, de vendre ou de transférer tout intérêt et l’ensemble des intérêts prévus en vertu de cet accord sans votre approbation ou consentement, et sans vous en fournir quelque préavis que ce soit.

Divers

Le présent accord ne peut être amendé, altéré, modifié, annulé ou prorogé à moins d’un document officiel écrit signé par les parties. La renonciation ou la rupture de quelque disposition de cet accord de l’une ou l’autre des parties ne devra pas constituer comme une renonciation de quelque autre partie ou droit. Les en-têtes du présent accord ne servent qu’à l’aspect pratique et ne délimitent pas les droits ni les parties de l’accord. L’accord devra être interprété conformément aux lois de l’État de la Géorgie.
